SUBSCRIPTION AND AUTOMATIC RENEWAL TERMS

1. Scope

These terms govern MCD Flow trials, paid subscriptions, billing cycles, seats, add-ons, and automatic renewals.

They form part of the Terms of Service.

2. Plans and Pricing

Before purchase, MCD Flow will display:

• plan name;
• principal features;
• included seats;
• price;
• currency;
• applicable taxes where feasible;
• billing frequency;
• term;
• trial terms;
• first charge date; and
• renewal conditions.

3. Payment Authorization

By subscribing, the Customer authorizes MCD CAD CORP and its payment processor to charge the displayed price, taxes, accepted add-ons, additional seats, prorated amounts, and authorized renewals.

The Customer must maintain a valid payment method.

4. Automatic Renewal

Unless identified as non-renewing, the subscription automatically renews at the end of each billing cycle for an equivalent period.

By subscribing, the Customer affirmatively agrees to the displayed recurring charges.

Failure to use the Service does not cancel renewal.

5. Reminders

Where required by law or reasonably appropriate, MCD Flow may send reminders before:

• a trial ends;
• an initial charge occurs;
• a long-term subscription renews; or
• a material price change takes effect.

The Customer must maintain a current email address.

6. Cancellation

The Customer may cancel through Billing Center or another authorized channel.

Cancellation will stop future renewals and must be completed before the renewal date to avoid the next charge.

7. Plan Changes

Upgrades, seats, and add-ons may become effective immediately with prorated billing.

Downgrades generally take effect at the end of the billing cycle, and the Customer must first meet the reduced plan limits.

8. Price Changes

We may change prices after providing reasonable advance notice.

New pricing will apply to a future renewal and not retroactively to a paid term.

The Customer may cancel before renewal.

9. Failed Payments

Following a failed payment, we may retry payment, request an update, provide a grace period, restrict features, suspend access, or cancel the subscription.

Validly accrued amounts remain due.

10. Taxes

Prices may exclude taxes.

The Customer is responsible for applicable taxes except those MCD CAD CORP is required to calculate, collect, and remit.

11. Billing Records

MCD Flow may provide electronic invoices, receipts, and billing history.

Customers should review charges and promptly report suspected errors.

12. Trials and Promotions

Trials or promotions may have additional terms.

Unless otherwise stated, they are limited to one per Customer, may require payment information, may convert automatically, have no cash value, and may not be combined.

13. Consent Records

MCD Flow may retain evidence of the terms shown, price, date, language, acceptance action, account, IP address, legal version, renewal, and cancellation.

14. Mandatory Rights

Nothing in these terms limits non-waivable statutory rights.
